(1) These shares are held in a trust for which the reporting person is a partial beneficiary. The reporting person's spouse is trustee of the trust. The reporting person disclaims beneficial ownership of these securities, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
(2) The option vests in monthly installments over four years, beginning on May 26, 2018.
(3) The reported item represents $275,000 of promissory notes that are not currently convertible but are contingently convertible at the time of the initial public offering of the Company. The conversion price for such shares is the fair market value of the shares at the time of conversion.
